Spirit Holdings to acquire Hot Topic

If you have ever joked that Spirit Halloween will eventually take over every empty building in America, I have some news for you: they may have bigger plans than the empty buildings.

Spencer Spirit Holdings, the parent company behind Spirit Halloween, Spencer’s, and the growing Spirit Christmas, announced on Aug 6, 2026 that it signed an agreement to acquire Hot Topic Inc. from Sycamore Partners. Hot Topic does not arrive alone either, as the deal also includes BoxLunch and Her Universe. 

Technically, Spirit Halloween itself is not buying Hot Topic, which is an important distinction. Spirit Halloween is part of Spencer Spirit Holdings, and if the deal closes as planned, Hot Topic, BoxLunch, and Her Universe will join Spencer’s, Spirit Halloween, and Spirit Christmas under the same corporate umbrella. Together, the six brands would represent more than three thousand stores across North America.

The acquisition is expected to close during the third quarter of 2026, subject to customary closing conditions and regulatory approval. The companies have not officially disclosed the purchase price, although reports have placed the deal at around $350 million.

Spirit Halloween is built around Halloween, horror, costumes, collectibles, and licensed characters. Spencer’s has spent decades selling pop-culture merchandise, novelty products, and apparel. Hot Topic has occupied a similar corner of retail since 1989, combining music and alternative fashion with horror, anime, movies, television, and fandom merchandise. BoxLunch adds another major pop-culture retailer to the group, while Her Universe specializes in fandom-focused fashion. They are different businesses, but there is an obvious crossover between the people shopping at them. 

What makes the deal more interesting is how much Spirit itself has expanded. Spirit Halloween plans to operate a record one thousand five hundred seventy-five locations during the 2026 season, while Spirit Christmas continues growing after starting with only eight stores in 2024. That experiment expanded to thirty locations in 2025 and is expected to reach forty-four this year. 

Spirit has also spent decades becoming remarkably good at temporary retail. Every year, stores appear inside vacant buildings, turn them into Halloween headquarters for a few months, disappear, and then come back the following year. It is such a familiar part of Halloween at this point that seeing the Spirit banner go up almost feels like the unofficial beginning of the season.

The Hot Topic acquisition gives its parent company something completely different: a much larger permanent retail presence. Hot Topic currently operates more than six hundred fifteen stores across the United States and Canada. BoxLunch has more than two hundred eighty locations in the United States, and Spencer’s operates more than six hundred fifty stores of its own.

Of course, long-term Hot Topic customers are probably wondering what all of this means for the store itself. For now, there is no indication that Hot Topic is about to turn into a permanent Spirit Halloween. Spencer Spirit says Hot Topic, BoxLunch, and Her Universe will continue operating independently and maintain their headquarters in California. Hot Topic CEO Steve Vranes is also expected to remain in his position and continue overseeing the three brands.

The acquisition presents a pretty clear strategy. Spencer Spirit Holdings is building a collection of businesses centered around fandom, entertainment, alternative culture, seasonal shopping, and licensed merchandise. Instead of trying to turn Spirit Halloween into a year-round retailer, the company now has several established brands capable of reaching many of those same customers throughout the rest of the year.
